EXPLANATORY NOTE

 

Gryphon Digital Mining, Inc. (the “Registrant”) is filing this Registration Statement on Form S-8 with the Securities and Exchange Commission (the “Commission”) to register 5,810,033 shares of common stock, par value $0.0001 per share (“Common Stock”) available for issuance under the Registrant’s 2024 Omnibus Incentive Plan (the “2024 OIP”).

Section 145 of the Delaware General Corporation Law (“DGCL”) authorizes a court to award, or a corporation’s board of directors to grant, indemnity to its directors and officers under certain circumstances and subject to certain limitations. The terms of Section 145 of the DGCL are sufficiently broad to permit indemnification under certain circumstances for liabilities, including reimbursement of expenses incurred, arising under the Securities Act.

 

The Registrant’s Amended and Restated Certificate of Incorporation, as amended (the “Amended and Restated COI”) provides that the Corporation, to the full extent permitted by Section 145 of the DGCL, as amended from time to time, shall indemnify all persons whom it may indemnify pursuant thereto. The Amended and Restated COI also provides for the payment of expenses (including attorneys’ fees) incurred by an officer or director in defending any civil, criminal, administrative, or investigative action, suit or proceeding for which such officer or director may be entitled to indemnification under the Amended and Restated COI, which shall be paid by the Registrant in advance of the final disposition of such action, suit or proceeding upon receipt of an undertaking by or on behalf of such director or officer to repay such amount if it shall ultimately be determined that he is not entitled to be indemnified by the Registrant as provided under the provisions of the Amended and Restated COI.
